Our Nonprofit and Charitable Organizations Practice
is
focused on developing an understanding of each client's
structure and organizational needs in order to establish a productive
working relationship with the client and to anticipate the client's
needs.
We provide advice in every stage of the organizational life cycle.
We have formed and exempted numerous organizations, and we
provide extra value in this process by advising clients regarding
optimal structure and operations to accomplish the client's objectives
while best positioning the organization for compliance with IRS
requirements.
The majority of our practice consists in
advising clients in the operational phase of the organizational life
cycle, providing service as outside general counsel to organizations
that do not have full-time staff attorneys. As such, we work
closely with management to identify the organization's most pressing
legal needs, to coordinate legal projects with outside specialist
counsel, and to advise on day-to-day operational matters.
In
addition to advising and guiding clients through the formation and tax
exemption of organizations, some representative activities that we
provide to our nonprofit clients include full reviews of
structure
and operations of currently-existing organizations, negotiation and
drafting of contracts and leases, development of and advice regarding
Section 403(b) retirement plans, review of fundraising materials,
websites, and publications, advice regarding qualified sponsorships,
drafting of intellectual property policies and contracts, and drafting
updates with the IRS.
